Membership Agreement – Terms and Conditions
This Membership Agreement ("Agreement") must be completed by the student or, in the case of minors under eighteen (18) years of age, by a parent or legal guardian.
By submitting this Agreement electronically, the member acknowledges that they have read, understood, and voluntarily agreed to all terms and conditions set forth herein.
This Agreement shall be governed by and construed in accordance with the laws of the State of California.
1. Communication and Required Written Notice
All requests to cancel, suspend, modify, or otherwise change a membership must be submitted in writing. Written notice must be sent by email to:

Notices submitted by email are considered received only when acknowledged by Marinho Jiu-Jitsu, Inc.A minimum of thirty (30) days' written notice is required for all membership cancellations.
2. Payment Authorization and Fees
By submitting this Agreement, the member authorizes Marinho Jiu-Jitsu, Inc. and/or Napa Valley Martial Arts & Wellness (NVMAW) to automatically charge the credit card or other payment method on file on the first day of each month for all applicable membership dues, fees, merchandise purchases, and other authorized charges.
The member agrees to pay all applicable fees, including but not limited to:
Monthly Membership Rates
Adults Class

Youth Class

$150 registration fee
Kids Class

$150 per month

$150 registration fee
All registration fees, membership dues, merchandise purchases, and other payments are non-refundable.A valid payment method must remain on file at all times.The member is responsible for maintaining accurate and current payment information. Failure to update expired, declined, or invalid payment information does not relieve the member of any financial obligations under this Agreement.
Late or declined payments may incur a $25 administrative late fee.
If a membership is canceled and the member later returns, a new registration fee and any applicable enrollment fees will be required.
3. Credit Card Disputes
Members retain all rights afforded under applicable federal and California law, including the Fair Credit Billing Act.
Before initiating a chargeback or payment dispute, the member agrees to:

Notify Marinho Jiu-Jitsu, Inc. in writing of the billing concern.

Allow a reasonable opportunity for the Academy to investigate and resolve the matter.
Chargebacks involving valid and authorized charges may result in administrative fees, collection efforts, suspension of membership privileges, or cancellation of membership, to the extent permitted by law.
4. Uniform Policy
A proper Brazilian Jiu-Jitsu uniform is required for participation in all gi classes.
Uniforms displaying the name, logo, or affiliation of another academy are not permitted during training.
Uniform compliance is required for participation in classes, promotions, events, seminars, and competitions representing the Academy.
Approved Uniform Items
The Academy reserves the right to modify uniform requirements at any time.
5. Membership Term, Renewal, Cancellation, and Holds
Memberships automatically renew on a month-to-month basis and are billed on the first day of each month unless properly canceled in accordance with this Agreement.
Cancellations
All cancellation requests must be submitted by email to:

Cancellation requests are valid only when submitted by email and acknowledged by Marinho Jiu-Jitsu, Inc.A minimum of thirty (30) days' written notice is required.
To avoid the next scheduled billing charge, cancellation notice must be received at least thirty (30) days before the upcoming billing date.
All fees previously paid remain non-refundable.
Membership Holds
Membership holds are available only in limited and specific circumstances, including injuries or medical conditions that prevent participation in training for an extended period.All hold requests must be submitted in writing and are subject to approval by Marinho Jiu-Jitsu, Inc.Approved holds are subject to a $50 monthly hold fee.
During a membership hold:

Training privileges are suspended.

Spectator privileges are suspended.

Members on hold may not attend, observe, participate in, or otherwise access classes, training sessions, academy events, or academy facilities until the membership has been reactivated.
Membership holds are not available for vacations, travel, scheduling conflicts, work obligations, school obligations, relocation, financial reasons, temporary loss of interest, or other personal circumstances unrelated to an injury or medical inability to train.
If a member elects to discontinue training for one (1) month or longer for any reason other than an approved injury-related hold, the membership shall be canceled.
Any member wishing to return following cancellation must complete a new enrollment and pay all applicable registration fees in effect at the time of re-enrollment.
Marinho Jiu-Jitsu, Inc. reserves the right to approve, deny, modify, limit, or discontinue any membership hold request at its sole discretion.
6. Health, Safety, and Code of Conduct
Marinho Jiu-Jitsu, Inc. reserves the right to deny participation, suspend privileges, or terminate membership at any time for:

Unsafe behavior
-
Disruptive conduct
-
Harassment or intimidation
-
Disrespect toward staff, students, or guests
-
Violation of Academy rules or policies
No refunds shall be issued in connection with disciplinary suspension or termination.
Academy Conduct Rules

No shoes on the mats.
-
No food or beverages on the mats.
-
Proper hygiene and clean training attire are required.
-
Students must maintain trimmed fingernails and toenails.
-
Families and spectators must avoid disruptions around training areas.

Equipment may only be used with instructor authorization.
7. Medical Authorization and Emergency Care
The member affirms that they are physically and mentally capable of participating in martial arts training.
In the event of an emergency, the member authorizes Marinho Jiu-Jitsu, Inc. to obtain emergency medical assistance if deemed necessary.
The member agrees to be solely responsible for all costs associated with:

Ambulance services
-
Emergency treatment
-
Hospitalization
-
Medical care
-
Related expenses
Marinho Jiu-Jitsu, Inc. assumes no responsibility for the quality, adequacy, timing, or outcome of any medical care obtained.
8. Assumption of Inherent Risks
The member understands and acknowledges that Brazilian Jiu-Jitsu, self-defense training, fitness conditioning, sparring, and related activities involve inherent and significant risks, including but not limited to:
The member voluntarily assumes all risks associated with participation, including risks arising from the actions or omissions of other participants.
9. Liability Waiver and Release
To the fullest extent permitted by California law, the member releases, waives, discharges, and holds harmless:

Napa Valley Martial Arts & Wellness (NVMAW)

Carlson Gracie Napa Valley

Their owners, officers, directors, instructors, employees, contractors, agents, volunteers, affiliates, landlords, and representatives
from any and all claims, liabilities, demands, actions, damages, costs, or expenses arising from:

Participation in martial arts activities
-
Use of Academy facilities
-
Ordinary negligence
-
Inherent risks associated with training
This release does not apply where prohibited by law.
10. Indemnification
The member agrees to defend, indemnify, and hold harmless Marinho Jiu-Jitsu, Inc., NVMAW, Carlson Gracie Napa Valley, and their affiliated parties from claims, damages, liabilities, losses, costs, or expenses arising from:

The member's conduct
-
Violation of Academy rules
-
Failure to follow instructions
-
Misuse of facilities or equipment
except to the extent prohibited by applicable law.
11. Media Release
The member grants Marinho Jiu-Jitsu, Inc. and its affiliates the unrestricted right to photograph, film, record, and use the member's image, likeness, voice, name, and participation for educational, promotional, advertising, marketing, social media, and business purposes without compensation.
12. No Guarantee of Safety
The Academy makes reasonable efforts to provide a safe training environment but cannot eliminate all risks.
The member acknowledges that martial arts training is physically demanding and inherently dangerous and that no guarantee of safety has been made or implied.
13. Final Acknowledgment
By selecting the agreement checkbox and submitting this Agreement electronically, the member acknowledges and agrees that:

They have read and understood this Agreement.

They voluntarily accept all terms and conditions.

They assume full responsibility for participation.

They understand the risks associated with training.

This Agreement applies to all present and future participation with Marinho Jiu-Jitsu, Inc.
14. Minors Under 18 Years of Age
For any participant under eighteen (18) years of age, the parent or legal guardian acknowledges and agrees that:

They have read and understood this Agreement.

They consent to the minor's participation.
-
They accept all terms and conditions on behalf of the minor.

They agree to be bound by this Agreement to the fullest extent permitted by California law.
Electronic Signature
By checking the agreement box and submitting this form electronically, the member and/or parent or legal guardian agrees that such action constitutes a legally binding electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the California Uniform Electronic Transactions Act (UETA), and all other applicable laws.
