Waiver of Liability, Assumption of Risk, and Release Agreement

This agreement is entered into between Marinho Jiu-Jitsu, Inc., Napa Valley Martial Arts & Wellness (NVMAW), and Carlson Gracie Napa Valley (collectively referred to as “the Organization”) and the undersigned participant, or the participant’s legal guardian if under 18 years of age.
By selecting the acknowledgment checkbox and submitting this form online, the participant or guardian agrees to all terms below.

1. Liability Waiver and Release

In consideration of being allowed to participate in training, classes, programs, events, open mats, sparring, or any martial arts or fitness activities offered by the Organization, I hereby:

• Waive, release, and discharge the Organization and all affiliated owners, directors, instructors, employees, agents, volunteers, contractors, representatives, members, guests, and property owners (the “Released Parties”) from any and all liability for injuries, damages, or losses arising from ordinary negligence, the inherent risks of martial arts, or any participation in activities on or off the premises.

This release applies to all claims, including but not limited to:
injury, illness, temporary or permanent disability, paralysis, death, or property damage.

2. Assumption of Risk

I acknowledge and understand that martial arts, fitness training, and self-defense activities involve inherent and significant risks, including but not limited to:

• Sprains, strains, fractures, concussions

• Joint dislocations, muscle tears, nerve injuries

• Cuts, bruises, impact injuries from falls or contact

• Permanent disability, paralysis, or death

• Economic or social losses resulting from injury

• Risks resulting from my own actions or inactions

• Risks caused by the actions of others, equipment failure, or property conditions

I voluntarily and knowingly assume all risks, whether known or unknown, foreseeable or unforeseeable.

3. Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties from any claims, demands, actions, damages, or costs—including attorney’s fees—arising out of:

• My participation in any activity,

• My conduct or negligence,

• My failure to follow the rules, safety guidelines, or instructions provided by the Organization.

This indemnification applies to the fullest extent permitted by California law.

4. No Guarantee of Safety

I understand that the Organization strives to maintain a safe, clean, and supervised environment, but cannot eliminate all risks associated with martial arts training.
I agree that participation is voluntary and at my own risk.

5. Acknowledgment of Physical Fitness

I certify that I am physically and mentally capable of participating in martial arts activities and do not have any condition that would affect my safety or participation.
I agree to notify the Organization of any changes in my health.

6. Media & Photography Release

I grant the Organization permission to capture, record, and use my image, name, voice, and likeness in photographs, videos, marketing materials, social media, websites, and promotional or educational content.

I understand:

• I am not entitled to compensation,

• I waive the right to inspect or approve materials before publication.

7. Severability

If any portion of this agreement is found to be invalid or unenforceable, the remaining sections shall remain in full force.
This agreement is governed by the laws of the State of California.

8. Waiver of Future Claims

I understand that by agreeing to this waiver, I am giving up substantial legal rights, including the right to file future claims against the Released Parties for injuries or damages resulting from ordinary negligence.

This waiver does not apply to gross negligence, reckless conduct, or intentional misconduct as defined under California law.

9. Final Acknowledgment

• I have read, understood, and agree to all terms above.

• I understand the risks involved in martial arts training.

• I am signing voluntarily and without coercion.

• I understand I may consult an attorney before signing if desired.

For Participants Under 18 (Minors)

As the parent or legal guardian of the participant:

• I have read and understood this Waiver of Liability, Assumption of Risk, and Release Agreement.

• I consent to my child’s participation in all activities offered by the Organization.

• I agree to all terms on behalf of the minor, to the fullest extent permitted by California law.

Membership Agreement, Terms and Conditions

This Membership Agreement must be completed by the student or, for minors under 18, by a parent or legal guardian.
By submitting this Agreement electronically, the member acknowledges having read, understood, and voluntarily agreed to all terms below.
This Agreement is governed by the laws of the State of California.

1. Communication and Required Written Notice

Requests to cancel, suspend, or modify membership must be submitted in writing with at least 30 days’ advance notice to:

Written notices delivered in person or via certified mail are also accepted.

2. Payment Authorization and Fees

By submitting this Agreement, the member authorizes Marinho Jiu-Jitsu, Inc. / NVMAW to charge the credit card on file on the first day of each month for membership dues.

The member agrees to pay:

• Registration fee

• Prorated dues based on start date

• Required uniform items (gi, belt, rash guard, etc.)

All membership dues, fees, and registration payments are non-refundable.

Monthly Membership Rates

• Adults: $200/month + $200 registration

• Youth: $150/month + $150 registration

• Kids: $150/month + $150 registration

A valid credit card must remain on file at all times.
Late payments may incur a $25 fee.
If a member cancels and returns later, a new registration fee will be required.

3. Credit Card Disputes

Members retain all rights under the Fair Credit Billing Act.

The member agrees to:

1. Notify Marinho Jiu-Jitsu, Inc.  in writing of any billing concern, and

2. Allow reasonable time for the Organization to resolve it
   before initiating a dispute with the card issuer.

Disputes filed without prior notice, or for properly authorized charges, may result in administrative fees as allowed under California law.

4. Uniform Policy

A proper Brazilian Jiu-Jitsu gi is mandatory for all gi classes.

• Gis from other academies or affiliations are not permitted inside the academy.

• Uniform compliance is required for participation.

Approved items and pricing:

• Carlson Gracie / Marinho Gi: $150 + fee

• Belts: $20

• Rash Guard: $60

5. Membership Term, Renewal, and Holds

Membership renews automatically on the first of each month.

Cancellations

• Require 30 days' written notice. napavalleymaw@gmail.com

• To avoid the next charge, cancellation must be received 30 days before the next billing date.

Holds

Members may request a temporary hold in writing.
Holds include:

• $50 monthly maintenance fee

• Suspension of training

• Suspension of spectator privileges until reactivation

Any changes to membership rates will be communicated at least two billing cycles in advance.

6. Health, Safety, and Code of Conduct

Marinho Jiu-Jitsu, Inc. may deny participation or terminate membership immediately for:

• Unsafe behavior

• Disruptive conduct

• Disrespect toward staff or students

• Violation of academy rules

No refunds apply in cases of disciplinary termination.

Academy Conduct Rules

• No shoes on mats

• No food or drinks on mats

• Proper attire and hygiene required

• Families must remain silent around the mat area and avoid disruptions

• Students may not use equipment during class unless instructed

7. Medical Authorization and Emergency Care

The member affirms they are physically and mentally fit to participate.

If necessary, Marinho Jiu-Jitsu, Inc. may obtain emergency medical assistance.
The member agrees to be financially responsible for:

• Ambulance services

• Medical treatment

• Any related expenses

Marinho Jiu-Jitsu, Inc. is not responsible for the adequacy or outcome of emergency care.

8. Assumption of Inherent Risks in Jiu-Jitsu

Brazilian Jiu-Jitsu, self-defense training, conditioning, and sparring involve inherent risks, including but not limited to:

• Sprains, strains, fractures, concussions

• Joint dislocations, muscle tears, nerve damage

• Chokes, locks, takedowns, falls

• Emotional or psychological stress

• Property or financial loss

• Permanent disability, paralysis, or death

The member understands and voluntarily assumes all inherent risks, including those arising from training partners.

9. Liability Waiver and Release

In consideration of participation, the member releases:

• Marinho Jiu-Jitsu, Inc.

• NVMAW

• Carlson Gracie Napa Valley

• All owners, directors, instructors, employees, contractors, agents, volunteers, representatives, and property owners

from liability for injuries or damages resulting from:

• Ordinary negligence

• The inherent risks of martial arts training

To the extent permitted by California law.

10. Indemnification

The member agrees to indemnify and hold Marinho Jiu-Jitsu, Inc., NVMAW, and all affiliated entities harmless from claims arising from:

• Their own actions

• Misconduct

• Failure to follow safety instructions

Except where prohibited by California law.

11. Media Release

The member authorizes Marinho Jiu-Jitsu, Inc. to use their:

• Image

• Name

• Voice

• Likeness

for promotional, educational, and marketing purposes without compensation.

12. No Guarantee of Safety

Marinho Jiu-Jitsu, Inc. strives to maintain a safe environment but cannot eliminate all risks.
The member acknowledges that martial arts training is physically demanding and inherently dangerous.

13. Final Acknowledgment

By selecting the agreement checkbox and submitting this form online, the member affirms that:

• They have read and understood all terms of this Membership Agreement

• They voluntarily agree to all policies

• They assume full responsibility for their participation

• They understand this Agreement applies to both current and future activities

14. For Minors Under 18

The parent or legal guardian affirms that:

• They have read and understood this Agreement

• They authorize the minor’s participation

• They agree to all terms on behalf of the minor, to the fullest extent allowed by California law
